SCSR By-laws

ARTICLE I - MEMBERSHIP

Section 1

Membership is open to any person who is at least (18) years of age and the owner of a Honda "Shadow" class motorcycle. Owners of any 3 wheeled "trike" shall also be eligible for full membership. These members shall be known as "Full Members". Partners of "Full Members" shall be known as "Active Partners" and shall have all the rights of "Full Members". The children, ages 10 to 17, of "Full Members" shall be known as a "Junior Members" and have all the rights of "Full Members" with the exception they cannot vote.

Section 2

Members must conduct themselves in a manner that is consistent with promoting a positive image of motorcycling and the Southern California Shadow Riders. Serious misconduct may be grounds for termination of membership upon majority vote of the Membership as a whole in a scheduled meeting.

Section 3

All active Members who operate a motorcycle shall maintain a valid California driver’s license authorizing them to operate a motorcycle.

Section 4

All active Members who operate a motorcycle shall maintain insurance coverage according to the laws of the State of California.

Section 5

The consumption of alcohol prior to the ending of a ride day is strictly prohibited and is grounds for termination of membership. The ending of a ride day is to be determined by the President or Road Captain, it is the point at which all of the clubs activities have ended on any given day. The SCSR asks that no alcoholic beverage shall be consumed within 8 hours of the start of any ride. This rule shall apply to operator and passenger alike.

Section 6

Only active Members, "Full Members", "Active Partners", and "Junior Partners", shall be able to purchase the Club Colors of the Southern California Shadow Riders.

Section 7

Any new Member joining the Club shall have 72 hours or three business days, whichever is longer, to rescind the decision.

ARTICLE II - FEES AND DUES

Section 1

The dues of the Southern California Shadow Riders shall be $25.00 per "Full Member", $25.00 per Active Partner, and $10.00 per "Junior Member, per year, payable in advance at such times as the Southern California Shadow Riders shall designate. Dues shall be paid by all Members and by the dates specified to

Maintain membership in the club. The SCSR is a non profit organization.

Section 2

The amount of dues payable shall be determined by a majority vote of the Executive Board as needed, and ratified by a vote of the membership, "Full Members" and "Active Partners", as a whole in a regular scheduled meeting.

ARTICLE III - MEETINGS

Section 1

Regular meetings of the Club shall be held on the first and third Saturday of each month <site to be selected>, unless otherwise designated and announced to the entire Membership. 5 members must be present, these members must include the Executive board.

Section 2

The Executive Board shall meet whenever it is necessary.

ARTICLE IV - ELECTION OF OFFICERS

Section 1

The officers of the Club shall be a President, a Vice President, a Secretary, and a Treasurer.

Section 2

Nominations for all officers of this Club shall be made from the floor at the time of the election. All nominations shall be made from among "Full Members". All elections shall be by secret ballot with a majority vote of all members present at the time of the election necessary for the election.

Section 3

Proxy votes will not be allowed in the election of any officer however they are allowed when voting for any other issue.

Section 4

Elections shall be held at the first meeting of each calendar year.

Section 5

Any vacancy in office shall be filled by a special election held at the next regular meeting following the announcement of the vacancy.

Section 6

The Executive Board shall consist of the President, Vice President, Secretary, and the Treasurer.

 ARTICLE V - DUTIES OF OFFICERS

Section 1

The President presides at meetings of the Club and the Executive Board. The President has general supervision of the operation of the Club. The President cannot make decisions or contracts, which are binding on the Club without authorization of the Club requiring two-thirds (2/3) vote of the Members present.

Section 2

The Vice President shall preside in the absence of the President.

Section 3

The Secretary shall have custody of the Club by-laws and all other records. The Secretary will maintain an accurate record of all club meetings and activities.

Section 4

The Treasurer receives and disburses all funds of the Club. The Treasurer will be responsible for paying any debts owed by the Club and will keep an accurate record of all transactions. The Treasurer will make regular financial reports at Club meetings, or when requested by the President or the Executive Board.

ARTICLE VI - RULES OF ORDER

Section 1

The general procedure of meetings of this Club shall be in harmony with the guidelines set forth in Robert’s Rules of Order so long as there are no conflicts with these by-laws. 

ARTICLE VII - LIABILITY AND DISSOLUTION

Section 1

This Club and its members shall be responsible for expenses incurred at its discretion in the activities approved by the membership or the Executive Board. In the event of dissolution of the Club, all indebtedness will be paid from the existing funds with any remaining funds being donated to a Club-designated charity.

ARTICLE VIII - AMENDMENTS

Section 1

These by-laws may be amended at any regular meeting of the Club by a two-thirds (2/3) vote of the "Full Members" present and voting. Any amendments must be submitted in writing prior to a vote being taken. Upon its adoption by the Club, any amendments to these by-laws must be with the consent of the Administration of the SCSC executive board.

Section 2

Any amendment or any other matter voted upon by the Membership may be vetoed by a unanimous vote of all of the members of the Executive Board.

Article IX - TERMINATING MEMBERSHIP

Section 1

The Executive Board shall have the authority to revoke the membership of any member they deem has violated the by-laws of the Club or who is a danger to other members of Club.

Section 2

The Executive Board shall have the authority to revoke the membership of any member who, in the view of the Executive Board, by a majority vote, is representing the Club as an "outlaw club".

Section 3

The Executive Board shall have the authority to revoke the membership, by majority vote, of any member who engages in physical combat during a meeting or event presided over by the Club.

Section 4

Any member who has had his or her membership revoked, may appeal to the Members, "Full Members" and "Active Partners", to have their membership re-instated. Re-instating a member will require a two-thirds (2/3) vote of the Members present at the next regular meeting. Re-instatement votes shall be made in secret.

Section 5

Any Member whose membership is revoked shall forfeit all dues paid.

Section 6

Any Member resigning from the Club forfeits any remaining dues.
